1. Acceptance of Terms
By accessing or using the Petwealth website, mobile application, or any services provided by Petwealth, Inc. ("Petwealth," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Petwealth, Inc. If you do not agree to these Terms, you must not access or use the Services. We reserve the right to update or modify these Terms at any time. Continued use of the Services after any modification constitutes your acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal authority to enter into these Terms.
3. Description of Services
Petwealth is a laboratory diagnostic services provider for companion animals.
Our Services include:
• At-home diagnostic test kits for sample collection
• Laboratory analysis of pet biomarker samples across 50+ data points
• The Petwealth Health Score™, a proprietary algorithmic data summary of laboratory biomarker results
• Data insights and alerts based on laboratory biomarker data
• A pet parent dashboard for viewing laboratory results and Health Score Data
• A veterinary professional dashboard for reviewing patient laboratory data
• Referral services to third-party veterinary telehealth providers
3.1 Nature of Services — Laboratory Testing Only Petwealth is a laboratory diagnostic services provider. Petwealth does not practice veterinary medicine. All clinical decisions regarding your pet's health must be made by a licensed veterinarian within a valid Veterinarian-Client-Patient Relationship (VCPR). Nothing provided through the Services constitutes veterinary medical advice, diagnosis, or treatment. The results, data summaries, and informational outputs provided through the Services — including the Health Score — are for informational purposes only. They are not a substitute for professional veterinary examination, diagnosis, or treatment.
3.2 Third-Party Telehealth Referrals Petwealth may refer you to Pawp, an independent third-party veterinary telehealth provider, for veterinary consultation. Pawp operates independently of Petwealth, and any services provided by Pawp are governed by Pawp's own terms of service, privacy policy, and applicable regulations. Petwealth's referral to Pawp or any other third-party provider does not constitute an endorsement of, or assumption of liability for, any services provided by that third party.

• At-home diagnostic test kits for sample collection
• Laboratory analysis of pet biomarker samples across 50+ data points
• The Petwealth Health Score™, a proprietary algorithmic data summary of laboratory biomarker results
• Data insights and alerts based on laboratory biomarker data

Nothing provided through the Services constitutes veterinary medical advice, diagnosis, or treatment. The results, data summaries, and informational outputs provided through the Services — including the Health Score — are for informational purposes only. They are not a substitute for professional veterinary examination, diagnosis, or treatment.
3.2 Third-Party Telehealth Referrals Petwealth may refer you to Pawp, an independent third-party veterinary telehealth provider, for veterinary consultation. Pawp operates independently of Petwealth, and any services provided by Pawp are governed by Pawp's own terms of service, privacy policy, and applicable regulations. 4. Health Score™ and Algorithmic Outputs
Petwealth provides a proprietary Health Score™ and related algorithmic outputs (collectively, "Health Score Data") as part of the Services. The following terms govern your use of Health Score Data.
4.1 Nature of Health Score Data Health Score Data is generated by automated algorithms that aggregate and summarize raw laboratory biomarker results into a numerical index and related data summaries. Health Score Data is an informational output only.
4.2 Limitations of Health Score Data Health Score Data does not constitute veterinary medical advice, diagnosis, prognosis, clinical interpretation, or treatment recommendation of any kind. It is not intended to replace professional veterinary care. The Health Score is a data aggregation tool, not a clinical assessment.
4.3 Clinical Decisions All clinical decisions regarding your pet's health must be made by a licensed veterinarian within a valid VCPR. You assume full responsibility for any decisions made based on Health Score Data without independent veterinary consultation.
4.4 Algorithmic Processing You acknowledge that Health Score Data is generated through automated algorithmic processing without individual human clinical review of your pet's specific results, unless you request otherwise.
4.1 Nature of Health Score Data Health Score Data is generated by automated algorithms that aggregate and summarize raw laboratory biomarker results into a numerical index and related data summaries. Health Score Data is an informational output only.
4.2 Limitations of Health Score Data Health Score Data does not constitute veterinary medical advice, diagnosis, prognosis, clinical interpretation, or treatment recommendation of any kind. It is not intended to replace professional veterinary care. The Health Score is a data aggregation tool, not a clinical assessment.
4.3 Clinical Decisions All clinical decisions regarding your pet's health must be made by a licensed veterinarian within a valid VCPR. You assume full responsibility for any decisions made based on Health Score Data without independent veterinary consultation.
4.4 Algorithmic Processing You acknowledge that Health Score Data is generated through automated algorithmic processing without individual human clinical review of your pet's specific results, unless you request otherwise.
5. User Accounts and Registration
To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Petwealth immediately of any unauthorized use of your account. Petwealth shall not be liable for any loss or damage arising from your failure to comply with these obligations.
6. Subscriptions and Payment
6.1 Subscription Plans Certain Services are available on a subscription basis. By purchasing a subscription, you agree to pay all applicable fees as described at the time of purchase.
6.2 Auto-Renewal Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.
6.3 Refund Policy Diagnostic test kits that have been shipped but not yet used may be returned within 30 days for a full refund. Once a sample has been submitted for laboratory processing, no refund will be issued for that test.
6.4 Price Changes Petwealth reserves the right to change subscription pricing. We will provide at least 30 days' written notice of any price change before it takes effect.
6.2 Auto-Renewal Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel at any time through your account settings.
6.3 Refund Policy Diagnostic test kits that have been shipped but not yet used may be returned within 30 days for a full refund. Once a sample has been submitted for laboratory processing, no refund will be issued for that test.
6.4 Price Changes Petwealth reserves the right to change subscription pricing. We will provide at least 30 days' written notice of any price change before it takes effect.
7. Treatment Plan Fulfillment
Petwealth may facilitate the fulfillment of treatment plans, including supplements and other products, that have been authorized by a licensed veterinarian.
You acknowledge that:
• All prescriptions and treatment plans are determined solely by independently licensed veterinarians, not by Petwealth
• Petwealth's role is limited to facilitating fulfillment and delivery of veterinarian-authorized products
• Petwealth does not independently recommend, prescribe, or modify any treatment plan
• You should direct any questions about your pet's treatment plan to your licensed veterinarian
You acknowledge that:
• All prescriptions and treatment plans are determined solely by independently licensed veterinarians, not by Petwealth
• Petwealth's role is limited to facilitating fulfillment and delivery of veterinarian-authorized products
• Petwealth does not independently recommend, prescribe, or modify any treatment plan
• You should direct any questions about your pet's treatment plan to your licensed veterinarian
8. Intellectual Property
All content, features, and functionality of the Services — including but not limited to the Petwealth Health Score™ algorithm, software, text, graphics, logos, and data — are the exclusive property of Petwealth, Inc. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes only. This license does not include the right to reproduce, distribute, modify, create derivative works from, or commercially exploit any part of the Services.
9. User Content and Data
By submitting pet health data, samples, or other content through the Services, you grant Petwealth a non-exclusive, worldwide, royalty-free license to use, process, store, and analyze that data solely for the purposes of providing and improving the Services, as further described in our Privacy Policy. You represent that any information you provide is accurate to the best of your knowledge and that you have the right to submit it through the Services.
10. Prohibited Uses
You agree not to use the Services to:
• Violate any applicable federal, state, or local law or regulation
• Provide false or misleading information about your pet or yourself
• Attempt to access another user's account or data without authorization
• Use Health Score Data or other outputs for commercial purposes without Petwealth's written consent
• Interfere with or disrupt the Services, servers, or networks connected to the Services
• Reverse engineer, decompile, or attempt to extract the source code of the Health Score algorithm or any other proprietary technology
• Use automated systems (bots, scrapers) to access the Services without written permission
• Represent Health Score Data as a veterinary diagnosis, clinical assessment, or medical recommendation to any third party
• Violate any applicable federal, state, or local law or regulation
• Provide false or misleading information about your pet or yourself
• Attempt to access another user's account or data without authorization
• Use Health Score Data or other outputs for commercial purposes without Petwealth's written consent
• Interfere with or disrupt the Services, servers, or networks connected to the Services
• Reverse engineer, decompile, or attempt to extract the source code of the Health Score algorithm or any other proprietary technology
• Use automated systems (bots, scrapers) to access the Services without written permission
• Represent Health Score Data as a veterinary diagnosis, clinical assessment, or medical recommendation to any third party
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Petwealth disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, Petwealth does not warrant that:
• The Services will be uninterrupted, error-free, or secure
• Laboratory results or Health Score Data will be complete, accurate for your pet's individual clinical situation, or free from errors
• Health Score Data is suitable for making clinical decisions without independent veterinary evaluation
• Any particular health outcome will result from use of the Services Laboratory results and Health Score Data are informational data outputs only. They are not diagnostic, and they do not constitute veterinary medical advice.
• The Services will be uninterrupted, error-free, or secure
• Laboratory results or Health Score Data will be complete, accurate for your pet's individual clinical situation, or free from errors
• Health Score Data is suitable for making clinical decisions without independent veterinary evaluation
• Any particular health outcome will result from use of the Services Laboratory results and Health Score Data are informational data outputs only. They are not diagnostic, and they do not constitute veterinary medical advice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PETWEALTH, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO:
• Loss of profits, data, use, or goodwill
• Pet health outcomes, adverse events, or veterinary costs arising from your use of or reliance on the Services, Health Score Data, or laboratory results
• Actions taken or not taken based on laboratory results or Health Score Data
• Services or advice provided by third-party providers, including Pawp
• Interruption or unavailability of the Services IN NO EVENT SHALL PETWEALTH'S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO PETWEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• Loss of profits, data, use, or goodwill
• Pet health outcomes, adverse events, or veterinary costs arising from your use of or reliance on the Services, Health Score Data, or laboratory results
• Actions taken or not taken based on laboratory results or Health Score Data
• Services or advice provided by third-party providers, including Pawp
• Interruption or unavailability of the Services IN NO EVENT SHALL PETWEALTH'S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID TO PETWEALTH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Petwealth, Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising from:
• Your use of the Services
• Your violation of these Terms
• Your reliance on Health Score Data or laboratory results for clinical decisions without consulting a licensed veterinarian
• Any claim by a third party related to your use of the Services
• Your use of the Services
• Your violation of these Terms
• Your reliance on Health Score Data or laboratory results for clinical decisions without consulting a licensed veterinarian
• Any claim by a third party related to your use of the Services
14. Dispute Resolution
Before filing any formal claim, you agree to contact Petwealth at legal@petwealth.com and attempt to resolve the dispute informally for at least 30 days.
14.2 Arbitration Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
14.3 Class Action Waiver YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
14.2 Arbitration Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
14.3 Class Action Waiver YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
16. Termination
Petwealth may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. You may terminate your account at any time by contacting support@petwealth.com or through your account settings.
17. Modifications to Terms
Petwealth reserves the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account or through a prominent notice on the Services. Continued use of the Services after the effective date of any change constitutes your acceptance of the updated Terms.
18. Severability If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
19. Entire AgreementThese Terms, together with the Privacy Policy and any applicable Legal Disclaimers, constitute the entire agreement between you and Petwealth, Inc. with respect to the Services and supersede all prior agreements and understandings.
